Terms of Use

1. Introduction

These Terms of Use ("Terms") govern your use of the Zela mobile application ("App") and website zelaapp.co, operated by Vlas Maksimov ("we", "us", "our").

By creating an account and using Zela, you agree to these Terms. If you do not agree, please do not use the App.

2. About Zela

Zela is a marketplace platform that connects clients (expats and residents in Spain) with local service providers ("Masters"). Zela acts solely as an intermediary and is not a party to any agreement between clients and masters.

3. Eligibility

To use Zela you must:

• Be at least 18 years of age
• Have the legal right to work or provide services in Spain (for Masters)
• Provide accurate and complete information during registration

4. User Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Providing accurate, current, and complete information

You must notify us immediately of any unauthorized use of your account at hellozelaapp@gmail.com.

5. Client Rules

As a client, you agree to:

• Use the App only to find and contact legitimate service providers
• Communicate respectfully with Masters
• Not share personal contact information to circumvent the platform
• Not post false or misleading reviews

6. Master Rules

As a Master, you agree to:

• Provide accurate information about your services, experience, and pricing
• Comply with all applicable Spanish laws and regulations, including tax obligations
• Register as autónomo or otherwise comply with Spanish tax law if required
• Not misrepresent your qualifications or services
• Respond to client messages in a timely manner
• Maintain professional conduct at all times

Zela is not responsible for ensuring that Masters comply with tax or labor regulations. This is the sole responsibility of the Master.

7. Prohibited Conduct

You agree not to:

• Use the App for any illegal purpose
• Harass, abuse, or harm other users
• Post false, misleading, or fraudulent content
• Attempt to circumvent the platform by taking transactions off-platform to avoid subscription fees
• Create multiple accounts to abuse the platform
• Use automated tools (bots, scrapers) to access the App
• Post content that is offensive, discriminatory, or violates third-party rights

8. Payments and Subscriptions

For Clients: Use of Zela is free of charge.

For Masters: Access to client search and messaging requires an active Zela Pro subscription at €19.99/month, subject to change with notice.

Subscriptions are managed through Apple App Store and RevenueCat. All billing, refunds, and cancellations are subject to Apple's terms and conditions. To cancel, manage your subscription in your Apple ID account settings.

During the beta period, the App may be offered free of charge. We will provide notice before introducing paid subscriptions.

9. Payments Between Users

All payments for services are made directly between clients and masters (cash, Bizum, or other agreed methods). Zela does not process, hold, or guarantee any payments between users. Zela is not responsible for any payment disputes between clients and masters.

10. Reviews and Content

You may submit reviews, photos, and other content to the App. By doing so, you grant Zela a non-exclusive, worldwide, royalty-free license to use, display, and distribute this content within the App.

You are solely responsible for the content you submit. Content must be accurate, honest, and not violate any third-party rights.

We reserve the right to remove any content that violates these Terms without prior notice.

11. Intellectual Property

All content, features, and functionality of the App — including but not limited to the Zela name, logo, design, and software — are the exclusive property of Vlas Maksimov and are protected by applicable intellectual property laws.

12. Disclaimer of Warranties

Zela is provided "as is" without warranties of any kind. We do not warrant that:

• The App will be uninterrupted or error-free
• Masters are qualified, licensed, or insured
• Any service provided by a Master will meet your expectations

Use of services found through Zela is at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, Zela and Vlas Maksimov shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App or services arranged through it, including but not limited to damages resulting from the actions of Masters or clients.

14. Indemnification

You agree to indemnify and hold harmless Zela and Vlas Maksimov from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

15. Account Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine to be harmful to other users or the platform.

You may delete your account at any time from the Profile section of the App. Upon deletion, your data will be removed in accordance with our Privacy Policy.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via the App or email. Continued use of the App after changes constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of Spain. Any disputes arising from these Terms shall be subject to the jurisdiction of the courts of Spain.
